Euro Car Parts snaps up LSUK

Euro Car Parts snaps up LSUK

Euro Car Parts has acquired Pinco 1555 LTd, more commonly known as LSUK, including all 53 of LSUK's 53 branches, together with subsidiaries M I Diesel Products, Protech Automotive (UK) and Yeovil Rewind.

Euro Car Parts says the move secures LSUK's future and 600 jobs.

Euro Car Parts Chairman, Sukhpal Singh commented on the acquisition, "Euro Car Parts has proved its ability to grow organically in difficult times. The purchase of LSUK will further accelerate our expansion and support our quest to provide the ultimate in quality and service to the automotive aftermarket.

"Previous acquisitions by Euro Car Parts have shown our willingness to invest in the staff and fabric of companies, so as to bring them up to the same market-leading standards that have gained Euro Car Parts many awards for customer service throughout the industry."

LSUK Divisional Director, Shaun Darke, who spearheaded the LSUK team forming this new partnership said, "As far as I was concerned, despite several parties showing a real interest in LSUK, the company that stood head and shoulders above the rest was Euro Car Parts.

"As a demonstration of their commitment and focus on the acquisition of LSUK, they called in over 30 ECP directors, senior managers and advisers. Everything necessary was actioned over the weekend and the entire acquisition process took no more than 48 hours."

ALL Lsuk branches in the uk had their locks changed over the weekend and no staff are able to get in to their work at all whatsoever, locks were changed at every depot over the weekend with no prior warning.depot managers were meant to have attented a meeting last week which was cancelled at the last moment. What are Euro Car Parts playing at??? this has left many LSUK employees angry and upset and have no idea what`s going on.

Euro Car Parts are not incompetent, they know what they are doing and this stinks! Donīt be suprised to find they set up a buying company, then let it crash so they can buy it for nothing - again. They seem to have bought computers, then took them out before it went bang. The close down was planned before they bought the place I reckon. Recently, Wembley ECP Head Office was raided and many staff taken away. If a firm can condone that, what do you expect when they do this. Suppliers should boycott ECP.

For many years successive management teams have failed to realize the true potential of LSUK. This untapped potential is the highly skilled technicians and the workshops that offer specialist services that no other parts factoring business have to offer. If this had been realized and the correct investment made then value added services which could have been marketed to commercial, retail and large business accounts would have truly differentiated LSUK from others and made it a market leader in the UK. By not realizing the potential all LSUK could do was to try and compete in a very overcrowded low margin high volume non genuine parts business. It’s a real shame and my thoughts are with all those who have lost their jobs.

Never using ECP again. Bet they got what they needed last week, customer lists, stock, etc.

Clarity
13:35 - 7th October 2008

Some interesting comments above but here are some facts:-
1. The most recent LSUK management team have worked very hard to turn the fortunes of this business. The business was making good progress over the last two years and while it was still trading in losses the losses had reduced from Ģ2.2m two years ago to Ģ140k last year. (This is a fact, check companies house).
2.Because of the losses incurred over the previous years the business was always short of cash and this restricted the level of cash that could be invested in the business. Although salary increases were paid in the last two years and new vehicles were leased. In addition there was significant investment in the upgrading of some of the premises.
3. The Directors of LSUK (that were actually employed by the company)were not particularly high earners and were probably paid in line with the industry average. The Directorīs didnīt have company cars.
4. On average suppliers were getting paid quicker than they were last year, albeit slower than could be considered satisfactory. Due to the economic climate suppliers were wanting paid quicker but the cash was not available to satisfy their requests for quicker payment.
5. There was several parties interested in purchasing LSUK but only one could complete the transaction in the required timescale and eventually that deal came to nothing.
6. Euro Car Parts then stepped in and a deal was done for them to take the business as a going concern. Not all of the LSUK Directors met with ECP to discuss the deal, although all Directors knew the basis of the deal. Some of the LSUK Directors have still not met Mr Singh of ECP.
7. When did ECP decide to put the business into Administration? Well, thatīs a good question. They requested keys to every branch on Tuesday morning, this was then followed by the fuel cards being cancelled, the phones being cancelled and of course the Friday / Saturday visit to Wembley being cancelled. I guess we will never know when the decision was taken.
8.In summary, LSUK was a business that was improving. The losses were reducing but it still was not generating cash hence the difficulties. It had to be sold and in the end the only people interested (in the timescale) were ECP.

turbomeister
13:42 - 7th October 2008

Why blame ECP, it is quite clear that LSUK was being run into the ground by the people that was supposedly running the company. Singh is a shrewd businessman and obviously saw that LSUK needed a lot more investment than he first thought. Look at the LSUK directors to apportion the blame

16:14 - 7th October 2008

Clarity, you seem to know whats going on..... ECP knew what they were up to!! reduces their competition....

Insight
16:32 - 7th October 2008

Dear Clarity Yes, a lot of us know that LSUK was greatly improving as the 31 March 2008 acounts show. And yes, we know that it was the bankers who pulled the plug on the overdraft and demanded their money back quickly. Yet, LSUK could have continued. A deal could have been struck with the suppliers to pay off the old debt over a period of time and to go forward paying in normal terms.
We, the suppliers, would have supported this. So why did Grant Thornton do this terrible deal? And WHEN did they do it? Were the suppliers deliberately set up? Have computers and stock really been removed from the branches? Does anybody have proof of this?

The previous management ran the company down.
The accounts were signed off by a small accountung firm and a few days later lsuk ran out of money, a little suspect.

The management put LSUK into administration and all staff were screwed.

LSUK management sold a crock of shit to ECP from administration, at least ECP paid the previous months salary, they had no obligation to do this.

I heard the previous CEO was paid Ģ20,000 per month, the other directors drove big Mercedes and BMWs.

The heads of these management should be put on stakes out side the head office not poor ECP which tried to save an already f***ed up company.

4:EP bought under ECP logistics ltd as there was every plan to keep LSUK as a seperate business/trading name
5: The Whole deal was done in under 4 days and was based on the LSUK senior Team presenting themselves as a good company.
6: Sukhpal Singh paid out for the company and has lost BIG TIME! - a clever businessmen such s singh wouldnt make a mistake easily.
7: ECP didnt get the AA contract

and finaly... if there was always a plan to close LSUK- why buy through ECP logistics Ltd-surely something like that would rather be kept VERY quiet!?!?!

any LSUK staff that are complaining about ECP should shut up and thank Sukhpal for paying last months wages for you! something that your previous owners couldnt afford becuase their bank had called forthe overdraft to be paid back immediatly - ECP were the only company willing to RISK for you guys....

Nicky LSUK Edinburgh
19:13 - 9th October 2008

I was in the Edinburgh branch today getting my belongings. What really hacked me off was the guy from Euro Car Parts was in there letting the suppliers get their stock back. This was the same guy who popped into our branch on Friday to introduce himself as the local ECP rep then sat in his car outside for 30 mins taking notes. Was this teapot a spy? He must have knew this was happening next day but he shook our hands and smiled praising the tidiness of our branch (which we had busted doing our butts cos we were expecting Mr Sukpahl to visit in his helicopter). Im totally gutted to loose a job i enjoyed doing. So up you sukpahl.

What really happended
19:51 - 9th October 2008

LSUK Headoffice, hereīs what I know is fact. After the withdrawal of all financial support for LSUK by both itīs former investors and the bank, the business was set to go into Administration on Sunday (the day before the payroll). In a last ditch attempt the bank contacted any possible interested parties, however stated that any purchase would have to be completed inside 4 days otherwise the business would be put into administration. ECP were the only interested party, and the only people with the available funds who were prepared to purchase the business on face value only and incredibly do no due diligence. Sukhpal took the word of the LSUK Directors that they could rally the suppliers, staff and customers and could get the business rolling again. All monies were transferred on Sunday night including the Ģ1.2M payroll.

When the dust settled on Monday morning 22 senior ECP Managers finally got to see what they had bought. This is the point that clearly all was not as it seemed. The valuations were incorrect, many suppliers refused to supply the new LSUK-ECP business, the LSUK Directors started to fight amongst themselves and began hindering the whole process.

ECP were banking on the support of the both the senior management team and the LSUK suppliers. ECP had no available senior managers within itīs own business, and anyway truly wanted to run LSUK as a going concern with the existing teams in place.

After just 4 days it became apparent that what ECP had purchased, was not what they got and the promised support from the LSUK management team and from suppliers was just not going to happen. Having already paid out millions, ECP was left with no alternative but to place LSUK back into administration.

Take my word on this, ECP will loose millions and make nothing.

All stock is currently being collected by suppliers, all technicians equipment is available for collection tomorrow. ECP are buying no part of this business from the administrators.

and thatīs what really happened..

22:25 - 9th October 2008

today i have been told some ex LSUK staff have been very silly taking stuff thats not theirs to take, come on guys you know what u have taken do u think u will not get a visit from plod! think about it, u took stuff that was not yours, why give us ex staff a bad name, you are muppets and its people like u who got us in this mess doing your cash jobs via the back door. I have worked for LSUK for 15 years and i dont want muppets like u taking the good name away from those of us who now only have our respect from customers and staff. Give what u took back and show people the better older ways of LSUK.

You have no idea about the events which took place, Mr Singh paid our wages last month, all the directors pay themselves large amounts of wages, which the company could not afford or astain.

Holly
14:15 - 10th October 2008

I had worked for LSUK as a rep for 7 years, I loved my job and was exceted about the take over and the future that we had. On Sunday at 8.80am I had a phone call from a fellow rep saying there was a note on his branch! I went and saw the letter on our branch door! I ended up phoning the branch staff and my manager, what a thing to have to do!!! Now waiting till 3pm to be allowed into the branch to colelct my belongings.. the branch has been stripped. If it is in the hands of TENON recovery why was it ECP staff that were in the branches overseeing the removal of stock...in our branch there was no signing for goods, suppliers were just clearing the shelves and the amounts in value that they were told we had bore NO resemblance to what was there...Why hasnt the administrator kept us open running with a few staff to try and sell the business as a going concern? if there are interested parties as we have all been told in the Tenon Recovery letter to all Redundant employees??? surely it would have been better to keep it open - seeing as all of the telephone lines are still connected? Why are they still working??? I would like to personally thank all of our customers who have given us there support - after all people buy from people - I have had over 35 calls from customers asking how the staff are, and what we are doing? I wonder what the outcome will be for the 53 branches? Does anyone think that ECP will take them over cheaply from Tenon!!!!! lets be cynical, HQ would have closed 110 redundancies, w/shops would have closed approx 200 staff redundant...how much would that have cost ECP Logistics?????put it into administration and the Government pay!!!!! easy get out clause!!!

John
15:20 - 10th October 2008

Holly, a Ģ3M loss and loads of bad press.. an easy get out clause, I donīt think so..

Alex
15:24 - 10th October 2008

Holly, the stock would have been given back to the suppliers anyway as most of them had Retention of Title clauses in their terms and conditions..

holly
18:37 - 10th October 2008

John, I undefrstand about the Ģ3m loss, bad press etc,and the fact that the stock has now gone back to suppliers is understandable, but does anyone think that the branches will open? and yes I am greatful that Mr S Singh paid our wages last month, before anyone mentions that.

so nice to see my old friends
and colleagues today but i seem to have missed the workshop staff as the man from ecp had let them in to the branch to get there tools they went in about 11 this morning and the rest of us went in at 3.
the man from ecp also seemed to tell us the truth about our own management staff had done the dirty on us not ecp as every body thought
lsuk were in trouble a long time before ecp stepped in .but as none of our suppliers would supply us they had to close it down such a shame that our own people did the dirty.

Ex rep, I am sure ECP staff are going to stick up for their boss, to keep him sweet so he deosnīt do the same to them, Mr Me Again, Sukhpal paid the wages so he could get in the doors of LSUK, as for all the directors in their big houses, along with big houses come big mortgages, this has hit everyone from the top of the ladder down to the bottom, if the ecp logistics (LSUK) is in administration then why are ecp letting everyone in the branch, surely it should be down to the administrators to say who has what, not Sukhpal

your all perfetic he bought it trying to save the company he wanted to be nationwide because adding another 50 branches would help him achieve this. and no he didnt make any money he lost millions and millions of pounds due to the fact that the books were a all totally wrong.
why dont you spend less time on stupid websites and go looking for a job
you never know you could get 1 from ecp(positions are availlable).
LSUK were nearly gone anyway so you all knew you lot just all got your hopes up thinking that euros were going to go to the rescue but you the company was too far gone for example the diagnostics equipment were 1.5million pounds down in stock let alone anything else.

Why did ECP let us in to claim belongings and not Tenon recovery as they are the receivers and the company is in administration. The branch was stripped out when we arrived with not much left anyhow the only peeps with keys were ECP and the locksmiths, strange how Tenon donīt have any. Lets hope those at the top have sweet dreams, I know we have had none this week with no money coming in and tiny mouths to feed and not knowing when will will get our redundany paid!!!

ex lsuk driver. yes! the company was struggling, yes! suppliers were refusing to deal with lsuk. ecp threw us a lifeline for one week, we should all have seen it coming, we didnīt!
to turn up on monday to find padlocks on entrances and jobs instantly gone was a shock to most (except those in the know!!!!) at least we got last months wages and are now being sent redundancy claim forms etc from tenon.sadly if lsuk hadnīt gone down now it could have been next month or the next month---- there is never a good time to be unemployed.
i want to wish all ex-staff luck in finding new jobs asap perhaps our paths will meet elsewhere. seeyall

i am also a van driver and the same is happening here i have a van sat on my drive, and your right i have put in writing along with my form that i am going to charge them per day for storage, and i have not heard a thing as to when they are going to collect it,and i can assure you that the insurance has lapsed on all vehicles as it says in the letter we recieved, and i was told over the phone to park it off road,so the longer it stays here the more i charge them.

and may i point out some1 from ecp, that you are lucky to have a job,and yes we are out there looking for a job,and there is nothing, believe me we dont want to be in this state, and this website is the only thing where we can see what all our other ex work mates around the country are saying,if we had our jobs we would not be on here.

It was a very sad day last Monday when LSUK staff arrived for work, they was met with a freephone telephone number and a sign stating due to unforseen circumstances this business has closed, this may be the case, the current climate today, lots of companies are struggling, I think it is the underhanded way this was done that has upset LSUK staff and made them very angry. As for managers of branches, they was none the wiser either, some of them paid out monies for travel to London that was īcancelledī last minute, will they get that money back??? Doubtful. It still astounds me why ECP are deciding who has what and not the administrators, the person know as SHOCKED, I couldnīt agree more, the punctuation and grammar is horrendous. Mr Singh is the only winner here, as far as I can see. Good Luck to all LSUK staff and best wishes for the future, whatever it holds,

Ex employee
10:14 - 14th October 2008

Please look at these points without Judging.

1) To clarify ECP paid the wages for last month and EXPENSES including directors and regional managers, they would have stopped paying the higher paid staff if the intention was to put the company into administration, or just paid the wages telling staff they would work out the expenses in a few weeks.
2) The Company was put into administration on 29th September and this can only be done by the DIRECTORS of LSUK who represent the employees.
3) Tenon is independent and is following legal procedures. They are in charge and the fees for administrators are priority before the rest of the creditors.
ECP Audit team managed by Tenon worked independently and covered the branches which is costly and difficult for Tenon to open the branches to let suppliers pick up the retention of title stock.
Doing this reduces Tenon costs and benefits creditors which include employees.
4) The Branches are empty because suppliers were owed more than Ģ10million when LSUK directors put the company into administration on 29th September. The branches held only Ģ4millon of this stock, suppliers needed to cover the losses and collected quickly.
5) This website is anonymous and ECP employees have been told not to comments. Defenders of ECP are doing this emotionally defending their family. This is a good indication that ECP values their employees regardless of what is said in a very emotional time.
5) This unfortunate set of events are not a good thing or something to be proud of by anyone, director, employee, supplier, customer, investor, both LSUK and ECP.
A sad event for all and no-one should blame or point fingers. Understandably LSUK employees are emotional as they continue to be effected personally.
I hope and pray anyone who has not yet found employment find employment before Christmas, to do this we need to look forward on what needs to be done not back at what should have been done which was always out of our control.
And in years to come I hope we all look back at LSUK and ECP without horrid feelings, in time hoping we only remember the positive events in our lives.
We should always remember that we are better off than millions of people around the world in Africa, China and Iraq.

God bless every one of us.

to: spere some chage for ex electrician and others.

Can I add a few comments please....Having been asked, as a supplier, over the last 3 or 4 years to supply LS UK I did so on a next day delivery basis expecting to be paid within 30 days. I then found myself chasing a īpaymentsī department in Sheffield and receiving lots of excuses for non-payment especially when Iīd supplied to the Glasgow and Bristol branches. Payment was only recievd after legal action letters were sent to the branches. I would never again risk my business or waste a day in my workshops rounding up an order without prior payment.

Secondly, LS UK staff have and still a lot of knowledge - why not move on in each area and set a small business offering a bettter and cheaper service to existing customers?? Internet, Yellow Pages....go out and there and set yourseves up...itīs not rocket science.

Thirdly to the van drivers holding vehicles on thier driveways....you could be accused of holding someone elses property...a vehicle could be removed by the leasing companies. Also, it wonīe matter if you raise a bill for storage of a pond or ten pound, when assets are sold off a queue forms of creditors, top of the pile are Inland Revenus and VAT followed by the Tenon recovery - they donīt work for free - the fees are taken out of the pot including auctioneers fees.

The other thing that put customers off of using LS Uk was the counter prices - when LS UK charged megga bucks in Sussex other smaller companies were far cheaper and just as good - itīs down to competition - LS UK didnīt seem to want to compete.

Any ex Portslade Staff might think about joinging Brighton & Hove Buses. Iīs worth a phone call.

We have supplied LSUK for the past two and a half years and have always found them difficult in terms of payment. They have always sent in debit notes like there is no tomorrow. If a debit note system was not in place they would have gone bust 12 months ago - I for one would never employ some of them if they were the last accounts people on the planet.
I for one and pleased they have gone - and thats from the branch managers through to the idiots at the head office.

They have been offering LSUK around for the last 8 months knowing they are in effect bankrupt. Good ridance to a rotten company .

Well I really don’t know where to start. Maybe by not blaming e.c p maybe look at the management. Paying themselves bonus paid on turnover not profit. So you could make a loss and still get paid. The thing I feel sorry is all the people I worked with for 30 year who got paid off by management. To all those people I worked with. All I can say is good luck in what you do next. Peter 1103

To some1 from ECP & others putting shitty comments
21:34 - 19th October 2008

I think u, Mr 'some1 from ECP' & a few others need to get your facts straight.
Yes, LSUK has had itīs faults over the years, but they did not deserve what has happened to them. If Mr Singh was sold a lemon there are a couple of things that need to be cleared up.

If he was going to keep the company, why did he request the keys to all branches the day after he bought them (strange thing to do, dont u think)& all the promises to the staff that they were going to be keeping their jobs & then dumped them all. If there are positions available within his company why hasnīt he offered some to the hundreds from LSUK (not that many would want to work for him, iīm sure).
Also the comments about people gaining access to the buildings (so called illegally) to get THEIR belongings. I would like to point out that it was not done illegally, as the staff had thousands of Ģīs worth of kit in the buildings, being withheld illegally by the administators, as you are legally entitled to have access within 48hrs & some staff had to wait as long as a week. Also I am confused as to why ECP are removing the high value stock from many branches, surely they owned the business, the business went back into administration, so therefore unless owned by suppliers, that stock belongs to the administrators & not ECP, isnīt that illegal then & havenīt they had enough already.
Also what happened to the much wanted AA contracts, donīt ECP supply then now, well that deals got to be worth Ģ9m a year for a start.

When you are commenting on here, please stop & think for a minute about the people that have slogged their guts out for years & been faithful to what used to be a good company, that have now been dumped in the shit. Not all of the employees were in it for the company, but spare a thought that there were some good, loyal ones & some great profitable, well run branches.

People are obviously not thinking of the huge knock on effect that these closures will have on other companies too, i.e the lose of Protech & the work they carried out on MOT equipment, could cause these facilities closures too.

I just hope that the top guys in this deal can sleep at night. The truth will out, a lot of unanswered questions will be resolved & there will be a lot of people eating their words, donīt forget youīve been told ECPīs side of the story, but the people who where on the other end seem to have more info.
